Wholesale Terms of Sale
Applicable to wholesale partners and orders placed through auteurpartner.com or other wholesale sales channels
1. Scope
These Wholesale Terms of Sale ("Terms") apply to all wholesale purchases of products from AUTEUR LLC ("AUTEUR", "we", "us", or "our") by authorized business customers ("Retailer", "Partner", "Customer", or "you").
These Terms apply to:
- All wholesale orders placed through alterpartner.com
- Orders placed directly with AUTEUR via email, invoice, or purchase order
- Any other wholesale distribution channel operated by AUTEUR
By placing an order, the Retailer agrees to be bound by these Terms.
2. Business Customers Only
AUTEUR products supplied under these Terms are intended strictly for business customers purchasing for resale.
The Retailer confirms that:
- it is a registered business entity
- it is purchasing products for resale in the ordinary course of business
- it will comply with all applicable laws and regulations relating to resale
AUTEUR reserves the right to request documentation verifying business status.
3. Order Acceptance
All orders are subject to acceptance by AUTEUR. Submission of a purchase order or checkout on alterpartner.com does not constitute acceptance of the order.
AUTEUR reserves the right to:
- reject or cancel any order at its sole discretion
- limit quantities
- allocate inventory
- discontinue products at any time
An order is deemed accepted only when confirmed by AUTEUR in writing or when the order is shipped.
4. Pricing
All wholesale prices are provided in the applicable currency and are subject to change at any time without prior notice. Prices listed on alterpartner.com or in wholesale price lists do not constitute a binding offer.
AUTEUR reserves the right to:
- correct pricing errors
- adjust pricing due to currency fluctuations, supply costs, or business considerations
All prices are exclusive of shipping, duties, taxes, VAT, and customs charges, unless explicitly stated otherwise.
5. Payment Terms
Unless otherwise agreed in writing:
- Full payment is required prior to shipment.
- Payment must be made using the approved methods indicated by AUTEUR.
Accepted payment methods may include:
- Bank transfer
- Credit card
- PayPal
- Other payment methods approved by AUTEUR
All payment processing fees are the responsibility of the Retailer. Orders will not be shipped until payment has been received in full.
Late payments may result in:
- suspension of shipments
- cancellation of orders
- termination of the wholesale relationship
6. Shipping & Delivery
Delivery timelines are estimates only and are not guaranteed. AUTEUR shall not be liable for delays caused by:
- shipping carriers
- customs processing
- regulatory inspections
- force majeure events
- circumstances beyond our control
Unless otherwise agreed, risk of loss and title transfer to the Retailer upon handover to the shipping carrier.
The Retailer is responsible for:
- import duties
- customs clearance
- taxes
- compliance with local import regulations
7. Inspection of Goods
The Retailer must inspect all shipments immediately upon delivery. Any claim relating to damaged goods, missing items, or incorrect products must be submitted in writing within 48 hours of delivery. Claims submitted after this period will not be accepted.
Claims must include:
- order number
- detailed description of the issue
- photographic evidence
AUTEUR reserves the right to determine the appropriate resolution.
8. No Returns / No Refunds
All wholesale sales are final. AUTEUR does not accept returns or issue refunds for wholesale orders under any circumstances, including:
- unsold inventory
- slow sell-through
- change of assortment strategy
- store closures
- customer returns at the retail level
Retailers assume full responsibility for resale performance and inventory management.
9. Damaged or Defective Products
In the rare event that products are materially defective upon delivery, the Retailer must notify AUTEUR within 48 hours of receipt. AUTEUR may, at its sole discretion:
- replace the defective product
- issue store credit
No monetary refunds will be issued.
10. Retail Pricing
Retailers agree to maintain the premium positioning of AUTEUR products. Unless otherwise agreed in writing, the Retailer shall not:
- sell AUTEUR products below the recommended retail price
- offer excessive discounts
- include AUTEUR products in liquidation sales or clearance events without prior approval
AUTEUR reserves the right to suspend supply to partners that undermine brand positioning.
11. Authorized Sales Channels
Retailers may sell AUTEUR products only through approved sales channels. Without prior written consent from AUTEUR, Retailers may not sell products on:
- third-party marketplaces (e.g., Amazon, eBay, Walmart Marketplace)
- discount platforms
- unauthorized online marketplaces
- unauthorized international channels
AUTEUR reserves the right to terminate relationships with retailers who violate these conditions.
12. Intellectual Property
All trademarks, brand assets, product names, logos, images, and marketing materials remain the exclusive property of AUTEUR. Retailers may use AUTEUR marketing materials solely for the purpose of promoting AUTEUR products in their authorized stores or websites.
Retailers may not:
- alter brand assets
- create derivative branding
- register domain names containing AUTEUR trademarks
without prior written approval.
13. Product Information & Compliance
Retailers are responsible for ensuring that products comply with all applicable laws and regulations in the territory where they are sold. This includes:
- labeling compliance
- language requirements
- regulatory approvals
- import regulations
AUTEUR shall not be responsible for compliance obligations outside the original shipping jurisdiction.
14. Limitation of Liability
To the fullest extent permitted by law, AUTEUR shall not be liable for:
- indirect damages
- loss of profits
- loss of business
- loss of goodwill
- resale losses
arising from the purchase or resale of our products. AUTEUR's total liability shall not exceed the amount paid by the Retailer for the specific order in question.
15. Force Majeure
AUTEUR shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to:
- natural disasters
- supply chain disruptions
- labor disputes
- pandemics
- governmental actions
16. Termination
AUTEUR reserves the right to terminate the wholesale relationship at any time if the Retailer:
- violates these Terms
- damages the brand reputation
- engages in unauthorized resale channels
- fails to comply with payment obligations
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
18. Amendments
AUTEUR reserves the right to modify these Terms at any time. Updated Terms become effective upon publication on our website or wholesale platform. Continued ordering constitutes acceptance of the updated Terms.
